Terms of Service

Thanks for using our products and services (“Services”). The Services are provided by MiOTA. These terms of service (Terms) govern your access to and use of our website, tools and services including MiOTA Search, MiOTA App and other tools, content, intellectual property and functionalities made available by us. By using our Services, you are agreeing to these Terms. Please read them carefully.

1. Access

When you use our Services, you acknowledge that you are at least 13 years old. If you are under 18 years old, you have the permission from a parent or guardian to use our Services.

2. Use and Restrictions

You may only use the Services in compliance with this Terms, and in compliance with all applicable laws, rules and regulations.

You may not use the Services:

  • in a manner which violates or infringes or personal rights;
  • in a manner which produces violent, abusive or deceptive Output;
  • to decompile, reverse engineer, disassemble, or otherwise reduce our Services to human-readable form, or attempt to discover the source code or underlying components of models, algorithms of our Services (unless legally compelled to by applicable law);
  • in a manner which introduces or transmits worms, viruses or any code of a destructive or malicious nature;
  • except through our APIs, to crawl, scrape or harvest data or information from our Services;
  • except through our APIs, use the Service through an automated means;
  • to develop a product or service which competes with us.

3. Intellectual Property and Ownership of the Services

Using our Services does not give you ownership of any intellectual property rights in our Services or the content you access. We retain all intellectual property rights, in and to the Services. Other than what is explicitly granted in this Terms, we do not grant you any rights, title or interest in or to our Services. If you believe that your work has been used related to the Services in a way that constitutes copyright infringement, or your intellectual property rights have been otherwise violated, please notify us at support@miota.in. We may require that you provide further information as regards such infringement in a particular format.

4. Content, Input and Output

  • Rights to Content. When you use our Services you may input text for processing (“Input”). Our Services may generate a response to your Input (“Output”), together Input and Output are collectively known as “Content”. You represent and warrant that when any Input is entered into our Services, you have all rights, and have provided any notices and obtained any consents, that are necessary for us to process any Input you submit to the Services in accordance with this Terms, and do not violate any applicable laws, including intellectual property, data protection and privacy laws. Except as explicitly provided by these Terms you retain all rights - including Intellectual Property rights- interests and title to the Input. You grant us an irrevocable, royalty-free, perpetual license to use all Content.
  • Training. We may use Content, and the associated feedback that you submit, to help develop or improve our Service, develop other products and services, and train our machine learning model. We also use Content to comply with applicable law, and to enforce our policies.
  • Personal Information. Where you voluntarily send to us personal information, whether in your Input or otherwise, you acknowledge that our privacy policy governs the use and processing of such personal information.
  • Accuracy and reliance on Output. Due to the nature of machine learning, responses are probabilistic and may not always be accurate or complete. It may also generate offensive or biased Output. Please check the veracity of the Output before relying on the Output. The Service is not intended to provide professional legal, financial, or medical advice, and you should always conduct independent research before relying on Output for such matters.
  • Output of third parties. Due to the nature of machine learning, Output might be similar or identical to Output generated for a third party, you acknowledge that Output generated by other users are not considered your content.

5. Feedback

You grant us an irrevocable, royalty-free, perpetual license to use all feedback, ideas, or suggested improvements you provide to us through the Services or otherwise (“Feedback”) regarding the Services, Input or Output. You understand that we may act on any Feedback and associated Content submitted without any obligation to you.

6. Security

The Services are an online product that requires access via an internet or other network connection. You acknowledge that you are responsible for obtaining the necessary internet or network connection to access the Services, and you are responsible for the associated third-party fees (such as internet service provider or airtime charges) for the connectivity to the Services. You must additionally implement reasonable measures designed to help secure your access to and use of the Services. If you discover any vulnerabilities or breaches related to the use of the Services, we appreciate you promptly contacting us to provide details of the vulnerability or breach.

7. Third Party Resources

The Services may provide connection to third party content, links and resources (“Resources”). Since we have no control over such sites or Resources, you acknowledge and agree that we are not responsible for the availability of such third party Resources, do not endorse said Resources, and are not responsible, nor liable for any content, advertising, or other materials on or available from such Resources. You use such Resources at your own risk.

8. Modifications to Service

We are constantly changing and improving our Services. We may add or remove functionalities or features, and we may suspend or stop the Services altogether. You can stop using our Services at any time, although we will be sorry to see you go.

9. Indemnification

You shall indemnify and keep us and our respective directors, officers, employees and agents indemnified against any and all claims, demands, actions, judgments, obligations, liabilities, costs, expenses, damages and losses incurred as a result of (a) your breach of these Terms; (b) any infringement or alleged infringement of any intellectual property right arising directly or indirectly from your actions or omissions; and/or (c) your violation of any applicable laws.

10. Disclaimer of Warranties, Limitations on Liabilities

The Services and all information provided therein are on an “as is” and “as available” basis without any warranty

We do not guarantee or warrant that the Service (including any products or data) will meet your requirements, be secure, timely, accurate, error free, bug free, virus free, uninterrupted, comply with applicable law, or that Ahrefs will correct all errors.

TO THE EXTENT PERMITTED BY LAW, WE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, PAST OR PRESENT, STATUTORY OR OTHERWISE IN LAW OR FROM A COURSE OF DEALING OR USAGE OF TRADE, AND WE SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING ANY EXPRESS OR IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND/OR NON-INFRINGEMENT.

TO THE EXTENT PERMITTED BY LAW, WE, WILL NOT BE RESPONSIBLE FOR LOSS OF PROFITS OR REVENUES, LOSS OF USE OF PRODUCTS OR SERVICES, LOSS OF BUSINESS OPPORTUNITY, LOSS OF REPUTATION AND/OR CONTRACT, DOWNTIME COSTS, INCREASED EXPENSE OF OPERATION, LOSS OF OR CORRUPTION OF DATA, FINANCIAL LOSSES, OR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR DAMAGES OF ANY KIND WHATSOEVER.

TO THE EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY, FOR ANY CLAIM UNDER THESE TERMS, INCLUDING FOR ANY IMPLIED WARRANTIES, IS LIMITED TO THE AMOUNT YOU PAID US TO USE THE SERVICE IN THE 6 MONTHS PRECEDING THE CLAIM THE FOREGOING LIMITATIONS ARE ESSENTIAL TO THESE TERMS, AND WE WOULD NOT OFFER THE SERVICES TO YOU UNDER THESE TERMS WITHOUT THESE LIMITATIONS. TO THE EXTENT PERMITTED BY LAW, AHREFS, WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE THAT IS NOT REASONABLY FORESEEABLE.

11. General Terms

Additional Terms. When using our Services, you agree to comply with and are subject to any guidelines, rules, or supplemental terms applicable to such Services that may be posted on the Services from time to time. To the extent that we ask you to review and accept any supplemental terms that expressly conflict with our Terms, the supplemental terms will supersede our Terms with respect to your use of the portion of the Services governed by such supplemental terms, solely to the extent of the conflict.

Modification of Terms. We may modify these terms or any additional terms that apply to the Services, for example, reflect changes to the law or changes to our Services. You should look at the online version of our terms regularly. We will post notice of modifications to these terms on this page. Changes will not apply retroactively and will become effective no sooner than seven days after they are posted. However, changes addressing new functions for the Services or changes made for legal reasons will be effective immediately. If you do not agree to the modified terms of the Services, you should discontinue the use of our Services.

No third party beneficiary rights. These terms control the relationship between MiOTA and you. They do not create any third party beneficiary rights.

No waiver. If you do not comply with these Terms, and we do not take action, this does not constitute a waiver of our rights, power, remedy or to demand compliance.

Severability. If any of these terms are rendered invalid, unenforceable or void, the other terms will remain valid, enforceable and not be affected.

Jurisdiction. These terms and all matters based upon, arising out of, or relating in any way to these terms as well as the interpretation, construction, performance and enforcement of these terms, shall be governed by the laws of India and you submit to the jurisdiction of the courts of India for the purposes of any suit, action or other proceedings.
